All staff, volunteers, and management committee members of Airspace Unlimited Scotland (“AUS” of “the company”) will strive to avoid any conflict of interest between the interests of the company on the one hand, and personal, professional, and business interests on the other.

This includes avoiding actual conflicts of interest as well as the perception of conflicts of interest.

The purposes of this policy are to protect the integrity of the company’s decision-making process, to enable our stakeholders to have confidence in our integrity, and to protect the integrity and reputation of directors, advisers, employees and key contractors.

Examples of conflicts of interest include:

  1. When an employee has a personal interest that could influence their professional judgement
  2. A director who is related to a member of staff and there is decision to be taken on staff pay and/or conditions.
  3. A Board member who is also on the Board of another organisation that is competing for the same funding.
  4. A decision-maker who has shares in a business that may be awarded a contract to do work or provide services for the company.

The company expects employees to disclose any potential conflicts of interest so that they can be managed appropriately. If an employee has a conflict of interest, they should follow the reasonable instructions of the line manager/director for managing it.

Upon appointment each Board member will make a full, written disclosure of interests, such as relationships, and posts held, that could potentially result in a conflict of interest. This written disclosure will be kept on file and will be updated as appropriate.

In the course of their involvement with AUS, such as day-to-day work, board meetings or other activities, Board members, Directors, and employees will disclose any interests in a transaction or decision where there may be a conflict between the company’s best interests and their own best interests or a conflict between the best interests of the company and any other organisation/s that the individual is involved with.

After disclosure, individuals understand that they may be asked to leave the room for further discussion and/or not attend meetings in relation to the matter in question, and/or not be able to take part in the decision depending on the judgement of the company and at the company’s sole discretion.

This policy is meant to supplement good judgment, and company members should respect its spirit as well as its wording.
